01 Acceptance of These Terms

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

These Terms govern use of the Site only. The supply, configuration, support, and use of the cliniMetrics dashboard for a clinic customer is governed by a separate written agreement between us and that clinic; where that agreement and these Terms conflict, the separate agreement prevails for that customer.

02 The Site & the Service

The Site provides information about the cliniMetrics clinic performance dashboard and lets you request a demonstration or a quote. The Site is informational and lead-focused: it does not provide the dashboard application itself, does not create user accounts, and does not operate a database of visitors or customers.

We may change, suspend, or discontinue any part of the Site at any time without notice. We aim to keep information accurate and current but do not warrant that it is complete, error-free, or continuously available.

03 Intellectual Property

Unless otherwise stated, cliniMetrics and/or its licensors own all intellectual property rights in the Site and its content — including text, graphics, logos, the cliniMetrics name and branding, layouts, and design. All rights are reserved.

You may view and use the Site for your own legitimate, non-commercial evaluation of our services. You must not, without our prior written permission:

• Republish, redistribute, or publicly display material from the Site
• Sell, rent, sub-license, or commercially exploit material from the Site
• Reproduce, duplicate, or copy material from the Site beyond normal browsing
• Use our branding, or extract content via scraping or automated means

04 Acceptable Use

You agree to use the Site lawfully and not to:

• Submit false, misleading, or someone else's personal information through the form
• Use the form to send spam, advertising, or unsolicited communications
• Attempt to bypass, probe, or defeat Site security, including the form's anti-abuse protections
• Introduce malware, or attempt to gain unauthorised access to any system or data
• Use automated tools (bots, scrapers, crawlers) in a manner that burdens or disrupts the Site
• Use the Site in violation of any applicable UAE or other applicable law

We may restrict or block access where we reasonably believe these Terms are being breached.

05 Demo Requests & Submissions

When you submit the demo request form, you confirm that the information you provide is accurate and that you are authorised to provide it — for example, that any clinic or organisation name and contact details are ones you are entitled to use.

Submitting the form does not create any contract or oblige us to provide a demonstration, a quote, or the Service. It is a request only; any engagement is subject to a separate agreement. Submissions are sent to us by email so we can respond, as described in Section 6.

06 Privacy & How Your Data Is Handled

Consistent with our Privacy Policy, the Site does not operate a database and does not store visitor or enquiry records. When you submit the form, the details are sent to us as an email so a person can reply — nothing is written to a data store on the Site.

07 Third-Party Services & Links

The Site uses third-party services including Google Analytics and Google Tag Manager (for aggregated analytics) and Google reCAPTCHA (to protect the form from automated abuse). Your use of those services is also subject to the relevant provider's terms, including Google's Privacy Policy and Terms of Service.

The Site may link to third-party websites or documents. We do not control and are not responsible for the content, policies, or practices of any third-party site, and links do not imply endorsement.

08 Disclaimer

To the maximum extent permitted by applicable law, the Site and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Information on the Site is for general informational purposes and does not constitute professional, legal, financial, or clinical advice. Nothing in this disclaimer will:

• limit or exclude liability for death or personal injury caused by negligence;
• limit or exclude liability for fraud or fraudulent misrepresentation;
• limit or exclude any liability that may not be limited or excluded under applicable law.

09 Limitation of Liability

Subject to Section 8, and to the maximum extent permitted by applicable law, cliniMetrics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site.

Because the Site and the information on it are provided free of charge, our total aggregate liability arising from or relating to the Site is excluded to the fullest extent permitted by law. These limitations govern all liabilities arising in contract, tort (including negligence), breach of statutory duty, or otherwise.

10 Indemnity

You agree to indemnify and hold harmless cliniMetrics and CS Business Technologies FZ LLC, and its officers and employees, from any claims, losses, liabilities, and reasonable expenses arising out of your misuse of the Site, your breach of these Terms, or your violation of any law or third-party right.

11 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles. Subject to any mandatory rights you may have, you agree to the exclusive jurisdiction of the competent courts of the United Arab Emirates for any dispute arising out of or relating to the Site or these Terms.

12 Changes to These Terms

We may modify or replace these Terms at any time at our discretion. Where a change is material, we will take reasonable steps to indicate this, such as updating the "Last updated" date above or posting a more prominent notice. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
